Terms of Service
Last updated: September 28, 2026
Agreement to These Terms
These Terms of Service govern access to and use of websites, applications, and services provided by ORchestrait LLC ("ORchestrait," "we," or "us"). By accessing or using the services, you agree to these Terms and our Privacy Policy. If you use the services on behalf of an organization, you represent that you are authorized to bind that organization.
Website and Application Use
ORchestrait provides scheduling and operational workflow tools for clinical teams. The services support administrative decision-making but do not provide medical advice, replace professional judgment, or serve as an emergency communications system. Users remain responsible for verifying schedules, assignments, staffing decisions, and urgent communications through appropriate operational channels.
Accounts and Authorized Users
Product access may require an account issued to or approved by a customer organization. You are responsible for maintaining the confidentiality of your credentials, providing accurate account information, and promptly reporting suspected unauthorized access. You may not share credentials or use another person's account without authorization.
Waitlist and Marketing Forms
Waitlist and other marketing forms are intended only for business contact information. Do not submit protected health information, patient information, clinical records, or other sensitive healthcare data through those forms. Joining the waitlist does not enroll you in ORchestrait's SMS alert program.
Acceptable Use
You agree not to:
- Use the services in violation of law, regulation, or another person's rights.
- Attempt to bypass security controls or gain unauthorized access to systems or data.
- Interfere with service operation, probe for vulnerabilities, or introduce malicious code.
- Use automated means to scrape, overload, or misuse the services.
- Misrepresent your identity, authority, affiliation, or messaging consent.
Intellectual Property
ORchestrait and its licensors retain all rights in the services, software, designs, branding, and related materials. These Terms provide only a limited, revocable, non-transferable right to use the services as authorized; they do not transfer any ownership rights.
SMS Terms
Program and sender. The ORchestrait urgent schedule alerts program is provided by ORchestrait LLC. It sends transactional text messages about time-sensitive, same-day schedule changes, coverage needs, assignments, and related operational alerts. It does not send marketing or promotional messages.
Consent. Users enroll by entering a mobile number and affirmatively enabling the optional SMS preference inside the ORchestrait application. The preference is not pre-checked, and SMS consent is not required to create an account or use other product features.
Frequency and charges. Message frequency varies based on schedule and coverage activity. Message and data rates may apply.
Opt-out and help. Reply STOP to cancel at any time, or disable SMS in the application. After opting out, you may receive one final message confirming your request. Reply HELP for help, or contact hello@getorchestrait.com.
Delivery and privacy. Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your carrier and network provider. See our Privacy Policy for information about how ORchestrait handles mobile numbers and SMS opt-in data.
Service Availability and Disclaimers
The services may change, experience interruptions, or contain errors. To the fullest extent permitted by law, the services are provided "as is" and "as available" without warranties of uninterrupted availability, accuracy, fitness for a particular purpose, or non-infringement. Customer agreements may provide additional commitments that control over this section when applicable.
Limitation of Liability
To the fullest extent permitted by applicable law, ORchestrait LLC and its officers, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, revenue, profits, goodwill, or business opportunity arising from use of the services. The scope of any aggregate liability cap remains subject to confirmation by legal counsel and any controlling customer agreement.
Governing Law and Disputes
These Terms will be governed by the laws of the state selected in ORchestrait's final counsel-approved terms, without regard to conflict-of-law principles. The applicable venue, dispute-resolution process, and any arbitration or class-action provisions also remain to be confirmed by legal counsel.
Changes to These Terms
We may update these Terms as the services or legal requirements change. We will post the revised Terms with a new last-updated date. Continued use after an update takes effect constitutes acceptance where permitted by law.
